Terms and Conditions

1. Introduction and Acceptance

Welcome to BizWiz Digital Agency. These Terms and Conditions ("Terms") constitute a legally binding agreement between BizWiz Digital Agency and you ("Client") governing all engagements, services, and use of our website.

By engaging BizWiz for any service — through our website, email, WhatsApp, or any other channel — you confirm you have read, understood, and agreed to these Terms in their entirety. If you do not agree, do not proceed.

2. About BizWiz Digital Agency

BizWiz Digital Agency is a boutique full-service digital agency headquartered in Ajmer, Rajasthan, India, serving clients across India and internationally (UAE, USA, UK, Singapore, Australia). We operate on a selective monthly client intake model to ensure dedicated attention and high-quality execution.

3. Services Offered

• Web Design & Development — Custom websites, e-commerce, Next.js / Webflow builds
• Branding & Identity Design — Logo, brand strategy, visual identity systems
• Performance Marketing — Meta Ads, Google Ads, LinkedIn campaigns
• Social Media Management — Content planning, creation, scheduling, analytics

• SEO / AEO / GEO Services — Technical SEO, content strategy, local SEO
• Consulting & Strategy — Digital strategy, funnel design, go-to-market planning

4. Eligibility and Onboarding

You must be at least 18 years of age and have legal authority to enter a binding contract. BizWiz follows a structured onboarding process: Discovery Call → Proposal → Agreement → Advance Payment → Onboarding Questionnaire → Project Kick-off. BizWiz reserves the right to decline any engagement at its sole discretion.

5. Payment Terms and Pricing

• Advance Payment: All projects require advance payment (50%–100% of total value) before work commences.
• Milestone Payments: Larger projects may be structured across milestones as defined in the Service Agreement.
• Monthly Retainers: Billed at the start of each billing cycle; services commence upon receipt of payment.
• Payment Methods: Razorpay (UPI, Cards, Net Banking), Bank Transfer (NEFT/RTGS), International Wire Transfer.
• GST: All prices are exclusive of GST unless stated otherwise. A GST invoice will be issued upon payment.
• Late Payment Fee: 2% per month on outstanding amounts after the due date.

6. Intellectual Property Rights

• The Client retains full ownership of all materials submitted to BizWiz.
• Upon receipt of final and complete payment, IP rights to final deliverables transfer to the Client.
• BizWiz's internal tools, frameworks, and proprietary methods remain BizWiz's exclusive property.
• BizWiz reserves the right to display completed work in its portfolio unless the Client requests confidentiality in writing.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary, sensitive, or non-public information shared during the engagement. This obligation survives termination of the engagement.

8. Client Responsibilities

The Client agrees to provide accurate information, respond to feedback requests within 48–72 business hours, submit required materials on time, designate a primary point of contact, and make payments as scheduled. BizWiz is not liable for delays resulting from the Client's failure to fulfil these responsibilities.

9. Revisions and Change Requests

Additional revisions and scope changes will be quoted separately.

10. Warranties and Disclaimers

BizWiz warrants services will be delivered with reasonable skill and care. BizWiz does not guarantee specific business results including sales targets, ROAS, search rankings, follower growth, or traffic volumes. Digital marketing outcomes are influenced by factors outside BizWiz's control.

11. Limitation of Liability

BizWiz's total liability shall not exceed the total fees paid for the specific service giving rise to the claim. BizWiz shall not be liable for indirect, consequential, incidental, punitive, or special damages including loss of profits, data loss, or reputational harm.

12. Termination

The Client may terminate with 14 days' written notice, subject to the Refund Policy. BizWiz may terminate immediately if the Client breaches these Terms, engages in abusive behaviour, fails to make payments, or requests unlawful work. All outstanding fees for work completed remain payable.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, specifically the state of Rajasthan. Disputes will be resolved through good-faith negotiation (30 days), then mediation, then arbitration under the Arbitration and Conciliation Act, 1996, with the seat in Ajmer, Rajasthan.
